AgentNet Terms of Service
These Terms govern your use of the AgentNet portal and the AgentNet services accessed through it. Please read them before creating an account.

1.Who we are
The AgentNet portal and the AgentNet services described in these Terms are provided by AgentNet Inc.(“AgentNet”, “we”, “us”). In these Terms, “you” means the person accepting them and, where you accept on behalf of an organization, that organization.

2.Eligibility and authority
You must be at least 18 years old to create an account. The portal is a business tool; it is not directed to children and we do not knowingly create accounts for them.
If you create an account or accept these Terms for an organization, you represent that you are authorized to bind that organization. If you do not have that authority, do not accept these Terms.
3.Accounts and account security
You must provide accurate registration information and keep it current. You are responsible for your password and for activity that occurs under your account. Choose a password you do not use elsewhere, and tell us promptly if you believe your account has been compromised.
Changing your password signs out your other sessions. You can also sign out of every device from your account security settings.
4.Email verification
After registration we send a verification link to your email address. Until you complete verification, your account exists but portal access is limited to verifying your address, signing out, and password recovery. Verification links expire and can be used once; you can request a new one, subject to rate limits.
5.Organizations and authorized users
Portal data is organized around organizations. An organization owner or administrator may invite other people, assign roles, change roles, remove members, and transfer ownership. Roles determine what a member can see and do.
The organization is responsible for who it invites and for what its members do with the organization’s data and credentials. Accepting an invitation binds the invited user to these Terms.
6.Service credentials
The portal can issue service credentials that allow software to authenticate to AgentNet endpoints on your organization’s behalf. A credential’s secret is shown once, at creation. We store only a digest and cannot recover the secret for you.
You are responsible for keeping credentials confidential and for all activity authenticated by them. Rotate or revoke a credential promptly if it may have been exposed. Do not embed credentials in client-side code or public repositories.
7.Ants (AgentNet Tokens)
“Ants” are AgentNet Tokens — the unit in which the portal measures AgentNet usage. Usage is recorded against your organization for a billing period and shown in the portal’s usage and reports views.
Usage figures in the portal are our records of measured activity and are intended for monitoring and billing. Where a plan includes an ant allowance, exceeding it may affect service behavior as described in the portal at the time.
8.Plans, fees, and taxes
Plans, their listed features, and their prices are shown in the portal. Paid plans are purchased through our payment processor’s hosted checkout. By selecting a paid plan you authorize the charges presented to you at checkout.
Prices exclude taxes unless stated otherwise; you are responsible for applicable taxes other than taxes on our income.
Renewal. Paid subscriptions renew automatically for the same billing period until you cancel. Each renewal is charged at the price then in effect for your plan.
Cancellation. You may cancel through the billing options available in your account or by contacting support. Cancelling stops future renewals; unless applicable law or a separate written agreement requires otherwise, it takes effect at the end of your current paid billing period, and you keep access for the remainder of that period.
Refunds. Fees already paid are generally non-refundable, except where required by applicable law or where we expressly agree otherwise in writing. We do not offer prorated refunds for a partly used billing period. Any plan-specific or separately agreed written commercial terms continue to apply and prevail over this paragraph to the extent they conflict.
We may change plans and prices. Where a change affects a plan you are already paying for, we will give you notice through the portal or by email before it applies to you.
9.Acceptable use
Use the services for your own lawful business purposes, in the volumes your plan provides, and in a way that does not degrade the service for anyone else. You are responsible for the content and conduct that flows through your account.
10.Prohibited conduct
You must not:
- use the services for unlawful activity, or to help anyone else do so;
- attempt to access another organization's data, accounts, or credentials, or any part of our systems you have not been granted access to;
- interfere with or disrupt AgentNet resolvers, endpoints, or infrastructure, including through excessive automated load, or circumvent rate limits or usage measurement;
- share, sell, or reuse service credentials outside the organization they were issued to, or use a credential after being told to stop;
- publish capsules or other content that is malicious, deceptive, or designed to misrepresent the origin or nature of a resource;
- infringe anyone's intellectual property, privacy, or other rights;
- conduct security testing, scanning, or penetration testing against AgentNet systems without our prior written authorization; or
- reverse engineer or copy the services except to the extent that restriction is unenforceable by law.
If you find a security issue, please report it to support@agent-net.ai rather than exploiting it.
11.Your data and content
You keep the rights you already have in the data and content you or your organization submit to the services. You grant us the rights we need to host, process, transmit, display, and back up that material in order to operate and support the services for you, and to improve reliability and security.
You are responsible for having the rights necessary to submit that material and for its accuracy and legality.
12.Our intellectual property
The services, the portal, and the AgentNet name, marks, and software are our property or our licensors’. These Terms grant you a limited, non-exclusive, non-transferable right to use the services during your subscription, and no other rights. Feedback you send us may be used without obligation to you.
13.Third-party services
We use third-party providers to deliver the services — currently including hosting, managed database, transactional email, and payment processing. Details of what each handles are in our Privacy Policy.
Payments are handled by our payment processor under its own terms; we do not receive or store your full card details. We are not responsible for third-party services we do not control, though we remain responsible to you for our own obligations under these Terms.
14.Availability, changes, and suspension
We aim to keep the services available and to give notice of significant planned changes, but the services are provided without a service-level commitment unless we have agreed one with you in a separate written contract. We may modify, add, or remove features.
We may suspend or limit access — to your account, an organization, or a credential — where we reasonably believe it is necessary to protect the services, our users, or a third party, to address a security risk, or to comply with law. Where practical we will tell you and restore access once the issue is resolved. We may discontinue a service with reasonable prior notice.
15.Confidentiality
If either of us receives non-public information from the other that is marked or reasonably understood as confidential, that party will use it only in connection with the services and will protect it with reasonable care. This does not apply to information that is public, independently developed, or lawfully received from someone else, and it does not prevent a disclosure required by law.
16.Disclaimers
Except as expressly stated in these Terms, the services are provided “as is” and “as available”, and we disclaim all other warranties to the fullest extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the services will be uninterrupted, error-free, or that usage measurements will be free of all discrepancy.
The portal does not make AgentNet Naming System conformance claims, and nothing here is professional advice.
17.Limitation of liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, goodwill, or data, arising out of these Terms or the services, even if advised of the possibility.
To the fullest extent permitted by law, our total liability arising out of or relating to these Terms or the services is limited to the amounts you paid us for the services in the twelve months before the event giving rise to the liability. These limits do not apply to liability that cannot be limited by law.
18.Indemnification
You will defend and indemnify us against third-party claims, and resulting losses, arising from your breach of these Terms, your misuse of the services, your content, or your use or mishandling of service credentials. We will tell you promptly about any such claim and let you control the defense of it, provided any settlement that imposes obligations on us needs our consent.
19.Term and termination
These Terms apply while you have an account. You may stop using the services at any time. We may terminate or suspend your account if you materially breach these Terms and, where the breach can be fixed, do not fix it after we ask.
On termination your right to use the services ends. Provisions that by their nature should survive — including your data and content rights, our intellectual property, disclaimers, liability limits, indemnification, and confidentiality — survive termination. After termination we retain records only as described in our Privacy Policy. If you need a copy of your data, contact us before closing your account.
20.Governing law and venue
These Terms, and any dispute arising out of or relating to them or to the services, are governed by the laws of the State of Idaho, United States, without regard to its conflict-of-laws rules.
You and AgentNet Inc. agree that the state and federal courts located in Idaho have exclusive jurisdiction and venue over any such dispute, and each of us consents to the personal jurisdiction of those courts.
Nothing in this section limits any right you have under mandatory law in your place of residence, or either party’s ability to seek injunctive relief where appropriate.
21.Changes to these Terms
We may update these Terms. Each version carries a version identifier and an effective date, shown at the top of this page. When you create an account we record which version you accepted. If we make a material change we will give notice through the portal or by email, and where your agreement is required we will ask for it.
Continuing to use the services after a new version takes effect means you accept it, except where your explicit agreement is required.
